This is an agreement between DOMINICAN TRAVEL NETWORK , registered with the Trade and Companies Registry of Amsterdam under the number 34 16 92 53, with its registered office at Kleine Sparrenlaan 1, 2121 CJ Bennebroek, The Netherlands, Represented by Eddie Lubbers in his quality as Managing Director with due power to this end. (herein "DOMINICAN TRAVEL NETWORK") and the Affiliate whose name, state of formation or other identifying characteristic is set forth on the signature page of this Agreement, together referred to as "parties". Recital

This Agreement contains the complete terms and conditions that apply to you becoming an Affiliate of DOMINICAN TRAVEL NETWORK. The purpose of this Agreement is to allow HTML linking between your web site and the DOMINICAN TRAVEL NETWORK Central Reservation System (DTN CRS).

Parties agree to the following terms and conditions:

1. Obligations of DOMINICAN TRAVEL NETWORK

(a) Affiliate Site Development Cost. Development of the Affiliate Site shall be at no cost and expense of the Affiliate.

(b) Affiliate Customer Service. DOMINICAN TRAVEL NETWORK will by email at all reasonable times assist Affiliate Customers with travel assistance, grievances, complaints and provide other related travel services in the ordinary course of business in accordance with standard travel industry practice. Affiliate agrees and acknowledges that DOMINICAN TRAVEL NETWORK is responsible for reservation fulfillment and customer service. All reservation inquiries shall be directed exclusively to DOMINICAN TRAVEL NETWORK. DOMINICAN TRAVEL NETWORK rules, policies, and operating procedures concerning customer orders, customer service, and ticket bookings will apply to those customers who book and purchase travel through the Affiliate's. DOMINICAN TRAVEL NETWORK may change its policies and operating procedures at any time.

(c) Grant of License to Affiliate. DOMINICAN TRAVEL NETWORK grants to Affiliate during the term of this Agreement a, non-exclusive, non-transferable, non-assignable, revocable limited license to provide to users of the Affiliate Site access to the DTN CRS, designed as an on-line reservations software the use of which it sells to hotels in Dominican Republic. In a way that is completely transparent for visitors to the site, this software adds functions to Affiliate's web site; these functions appear as a "button". Visitors can thus make firm reservations directly, enjoying great flexibility of choice.

2. Exclusivity

Affiliate shall not during the term of this Agreement, either directly on the Affiliate Site, or indirectly through advertisements or links on the Affiliate site, offer or market any Dominican Republic hotel booking products or services, other than through the DTN CRS, provided that this section shall not limit the right of Affiliate to enter into an agreement with DOMINICAN TRAVEL NETWORK or any of its affiliates.

3. Commissions and Payment

DOMINICAN TRAVEL NETWORK agrees to pay Affiliate a commission, denoted in Section (a) of this clause with respect to travel booked by Affiliate Customers through the DTN CRS:

(a) 3% of the gross amount, exclusive of tax charges and added service fees and adjustments to Affiliate Customers based upon hotel rooms or other lodging products. Commissions shall be paid no later than the 15th day of the month following the month in which the Rooms are consumed. A room shall be considered consumed upon check-out by the guest for the stay reserved through the DTN CRS. In the event the amount due is less than € 100 (for Affiliates located within Europe) or US$ 100 (for Affiliates located outside of Europe) in which event DOMINICAN TRAVEL NETWORK will postpone payment until more than such amount is due.

All payments will be made in Euros (€) for Affiliates located within Europe or in US Dollars ($) for Affiliates located outside of Europe. DOMINICAN TRAVEL NETWORK will deduct from the amount of Transaction fees payable the amount of any applicable taxes which DOMINICAN TRAVEL NETWORK is required to withhold and any applicable bank transfer or processing fees.

4. Reporting

Monthly and quarterly booking statistic reports in digital format (Excel) relating to Affiliate and extracted from the DTN CRS, will be provided by DOMINICAN TRAVEL NETWORK. Affiliate agrees that DOMINICAN TRAVEL NETWORK will be the only party to bill and collect booking commissions from any travel supplier. Affiliate shall be paid as provided in Clause 3, section (a).

5. Agreement Term and Termination

a) Term. This agreement is effective as of the last date of signing of either party as shown below. The initial term of this agreement will be one year as of that date. Upon expiration of the initial term this agreement will be automatically renewed for successive one-year periods, unless terminated by a party upon three months written notice prior to any expiration date.

b) Termination. Either party may terminate this agreement for breach by the other by written notice setting forth a reasonable period to cure such breach. DOMINICAN TRAVEL NETWORK shall have the right to terminate this agreement upon one month’s notice if the number of Materialized Transactions generated through Affiliate’s web site is below 5 in any calendar month.

DOMINICAN TRAVEL NETWORK may terminate this agreement upon notice at any time in the event of insolvency or bankruptcy of Affiliate or if DOMINICAN TRAVEL NETWORK has reasonable grounds to believe that such situation will arise.

(c) Removal Upon Termination. Upon the termination of this Agreement for any reason, the Affiliate shall immediately terminate all access from it's web site to the DTN CRS, and the license under Section 1 hereof shall automatically terminate.

(d) Survival of Payment Obligations. Upon termination, DOMINICAN TRAVEL NETWORK shall pay to Affiliate all outstanding Transaction fees within sixty days after the last day of the calendar month in which termination takes place. Affiliate agrees that it will not be entitled to any other compensation in connection with termination. The sections on liability, warranties, intellectual property and confidentiality will survive termination of this agreement.

6. Limited Warranty; Limited Liability

Limited Warranty

DOMINICAN TRAVEL NETWORK warrants that it will perform the Services in accordance with industry standards. As the Services are Internet based on dependant upon the functioning of Internet connections and communications infrastructure outside the control of DOMINICAN TRAVEL NETWORK, DOMINICAN TRAVEL NETWORK explicitly does not warrant the uninterrupted availability of the DTN CRS or that the Services will be uninterrupted or error free. DOMINICAN TRAVEL NETWORK warrants that that customers that use the reservation system through the DTN CRS will receive the same level of services as other DOMINICAN TRAVEL NETWORK customers. Affiliate agrees that no other warranties or representations are made and that it has no other expectations of DOMINICAN TRAVEL NETWORK performances under this agreement.

Limitation of liability

Parties agree that the total liability of each party for any direct damages incurred by the other in connection with this agreement, whatever the legal basis for such liability, is expressly limited to the amount paid to Affiliate under this Agreement during the three months preceding the events giving rise to such liability. Parties agree that any liability for any indirect damages that arise under this agreement is expressly waived.

The foregoing limitations of liability do not apply in the event damages are shown caused by intentional misconduct or gross negligence of the senior management of the party causing the damages.

7. Limitation on Damages

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL THEORY FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE SUBJECT MATTER OF THIS AGREEMENT.

8. Miscellaneous

(a) Force Majeure. If either party is prevented from performing any of its duties and obligations hereunder in a timely manner by reason of any act of God, strike, labor dispute, flood, public disaster, equipment, software or technical malfunctions or failures, power failures or interruptions or any other reason beyond its reasonable control, such condition shall be deemed to be a valid excuse for delay of performance or for nonperformance of any such duty or obligation for the period during which such condition exists.

(b) Relationship of the Parties. Notwithstanding anything to the contrary, this Agreement does not and shall not be deemed to constitute a partnership or joint venture between the parties and neither party nor any of their respective directors, officers, employees or agents shall, by virtue of the performance of their obligations under this Agreement, be deemed to be an agent or employee of the other.

(c) Applicable Law. This Agreement will be governed by and construed in accordance with the laws of the Netherlands applicable to contracts made and performed in the Netherlands without regard to conflict of law principles.

(e) Dispute Resolution. The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation. If the parties are unable to resolve the dispute by negotiation, either party shall have the right to submit the dispute to binding arbitration ("Arbitration"). Such Arbitration shall be conducted under the rules of the International Arbitration Association's Commercial Arbitration Rules. The arbitrator will be selected by agreement of the parties. If the parties cannot agree on an arbitrator, an arbitrator will be designated by the International Arbitration Association. Any arbitrator so designated must be acceptable to all parties.

(f) Assignment; Amendment; Entire Agreement. Neither party shall assign this Agreement in whole or part without the prior written consent of the other party except that either party may assign this Agreement in its entirety to its parent, any subsidiary in which it holds a majority voting interest, or any affiliate or in connection with a merger, reorganization or sale of a substantial part of the business to which this Agreement relates. This Agreement sets forth the entire agreement and understanding of the parties hereto concerning the subject matter hereof; supersedes and replaces all prior agreements, arrangements, and understandings between the parties; and may be amended, modified, superseded or canceled only by a written instrument executed by both parties.

(g)Notice. Any notice under this agreement will be given to the statutory address of each party as mentioned above. Written notice may be by email. Any written notice is deemed received the working day after such notice was sent or, if sent by registered mail with proof of delivery or by courier, the date shown on the notice of delivery.

(h)Confidentiality. Neither party will disclose any confidential information received from the other party during or in connection with this agreement. Confidential information includes any software or information regarding software provided or used by DOMINICAN TRAVEL NETWORK in connection with this agreement, as well as information regarding the DOMINICAN TRAVEL NETWORK business structure and pricing policies, information that is designated by either party as confidential, and any information that the other party reasonably could expect to be considered confidential. Each party states that it has read and fully understood this agreement and it is executed by its fully authorized representative:
